Terms and Conditions

End User License Agreement

Effective Date: 30 March 2026

Meta Healthcare Staff App ("App") is licensed to You (End-User) by Meta Healthcare Pty Ltd, located at Westpoint, Suite 502, Level 5/17 Patrick St, Blacktown NSW 2148, Australia ("Licensor", "we", "us", or "our"), for use only under the terms of this License Agreement. By downloading the Licensed Application from Apple's App Store and Google Play, and any updates thereto, You agree to be bound by all the terms of this License Agreement.

The parties acknowledge that Apple's App Store and Google Play are not parties to this License Agreement and are not bound by its terms. Meta Healthcare Pty Ltd, and not Apple or Google, is solely responsible for the Licensed Application and its content. This License Agreement is intended to comply with the applicable usage rules of Apple and Google Play. The Licensed Application is designed for use on supported Apple iOS and Google Android devices.

1. Use of the App

1.1. The App is designed to facilitate healthcare staffing, scheduling, communication, appointment or shift management, service delivery support, attendance or service verification, and engagement with healthcare providers, support workers, staff members, and operational teams.

1.2. Not an emergency service: The App is not designed for use in emergency situations. If you are experiencing a health emergency, please call 000 immediately.

1.3. You must be at least 18 years old to use the App. By using the App, you confirm that you meet this requirement.

1.4. You agree to use the App solely for its intended purposes and in compliance with all applicable laws and regulations.

1.5. Certain features of the App may require access to your device location to support attendance verification, service delivery, staff allocation, navigation, safety-related functions, or other location-based services. If you do not grant location permissions, some features may not be available or may not function properly.

2. License Agreement

2.1. Meta Healthcare Pty Ltd grants you a non-exclusive, non-transferable, revocable license to install and use the App on your personal devices in accordance with these Terms.

2.2. This license is subject to your compliance with the usage rules of the relevant platform, including Apple's App Store and Google Play.

2.3. You agree not to reverse-engineer, modify, distribute, resell, sublicense, or otherwise exploit any part of the App without prior written consent from Meta Healthcare Pty Ltd.

2.4. You are responsible for ensuring that your device meets the technical requirements necessary to use the App.

3. Healthcare Information and Services

3.1. The App may provide information intended to assist with healthcare staffing, scheduling, support coordination, communication, and related services, but it is not a substitute for professional medical advice, diagnosis, or treatment.

3.2. Meta Healthcare Pty Ltd does not guarantee that information provided through the App is accurate, complete, or up to date, and we disclaim liability for decisions made based on information accessed through the App, to the maximum extent permitted by law.

4. Privacy and Data Protection

4.1. We are committed to protecting your privacy. All personal data collected or accessed through the App, including location data where you grant location permissions, is processed in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

4.2. Where relevant to the App's functionality, location data may be accessed, collected, and used to support attendance verification, service delivery, scheduling, operational management, staff allocation, safety-related functions, navigation, and other location-based services made available through the App.

4.3. We take reasonable steps to protect your personal data. However, no method of electronic transmission or storage is completely secure, and you acknowledge the inherent risks associated with transmitting information electronically.

4.4. In the event of a data breach affecting your personal information, we will take such steps as are required by applicable law.

4.5. You are responsible for maintaining the security of your device, passwords, and login credentials. Meta Healthcare Pty Ltd will not be liable for breaches caused by your failure to secure your device or account details.

5. Indemnification

5.1. You agree to indemnify, defend, and hold harmless Meta Healthcare Pty Ltd, its directors, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to your use of the App, your breach of these Terms, your violation of applicable law, or your infringement of any third-party rights.

5.2. Meta Healthcare Pty Ltd shall not be liable for claims arising from your interaction with third-party service providers, healthcare providers, contractors, or operational partners accessed through or connected with the App.

6. Limitation of Liability

6.1. General Limitation of Liability

To the maximum extent permitted by law, Meta Healthcare Pty Ltd will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, business, goodwill, use, data, or other intangible losses arising from or relating to the use of, misuse of, or inability to use the App.

6.2. No Liability for Third-Party Actions

Meta Healthcare Pty Ltd is not responsible for the acts, omissions, systems, services, or content of third-party service providers, third-party applications, Apple's App Store, Google Play, telecommunications providers, or other third parties that may interact with the App.

6.3. Device and Network Liability

Meta Healthcare Pty Ltd is not responsible for malfunctions, damage, delays, or losses resulting from the use of the App on unsupported devices, outdated software, insufficient connectivity, or compromised network environments.

6.4. Limitation of Data Liability

Meta Healthcare Pty Ltd will not be liable for unauthorized access, data breaches, or information leaks resulting from events beyond its reasonable control, including hacking, malware, cyberattacks, or failures affecting third-party systems or user devices.

6.5. No Liability for User-Generated Content

Meta Healthcare Pty Ltd is not liable for any content generated, submitted, uploaded, or shared by users of the App. Users are solely responsible for ensuring that their content complies with applicable law and does not infringe third-party rights.

6.6. Service Downtime and Interruptions

Meta Healthcare Pty Ltd shall not be liable for service downtime, interruptions, delays, or loss of functionality caused by maintenance, upgrades, system errors, network failures, or other causes beyond its reasonable control.

6.7. Healthcare Disclaimer

The App is intended to facilitate communication, staffing, scheduling, attendance verification, service coordination, and management of healthcare-related services. It is not a substitute for professional medical advice, diagnosis, or treatment.

6.8. Limitation of Data Privacy Liability

While Meta Healthcare Pty Ltd takes reasonable measures to protect user data, no system is entirely secure. To the maximum extent permitted by law, Meta Healthcare Pty Ltd is not responsible for misuse of data arising from your failure to maintain the security of your device or account credentials, unauthorized access by third parties, or force majeure events.

7. Technical Requirements

7.1. The App requires a compatible supported device, internet access, and a supported version of the relevant operating system.

7.2. You are responsible for ensuring that your device meets the technical specifications required to run the App.

7.3. We may support only certain operating system versions, devices, or app versions from time to time, and we may discontinue support for older versions.

8. Maintenance and Support

8.1. Meta Healthcare Pty Ltd is responsible for providing maintenance and support for the App.

8.3. We reserve the right to update, modify, suspend, or limit features of the App at any time, including where necessary for maintenance, security, compliance, or operational reasons.

9. Third-Party Services and Content

9.1. The App may contain links to, integrations with, or services provided by third-party websites, applications, or platforms. Meta Healthcare Pty Ltd is not responsible for the content, privacy practices, availability, or actions of those third parties.

9.2. Your use of third-party services accessed through the App is subject to the terms and privacy policies of those third parties.

10. User-Generated Contributions

10.1. Where the App allows users to submit content, including profiles, notes, comments, or other materials, you grant Meta Healthcare Pty Ltd a non-exclusive, royalty-free license to use, store, display, reproduce, and modify that content to the extent necessary to operate, maintain, and improve the App and related services.

10.2. You agree that any content you submit will not infringe third-party rights, violate any law, or contain unlawful, offensive, or inappropriate material.

11. Termination

11.1. We may suspend or terminate your access to the App at any time, without prior notice, if you breach these Terms or if we reasonably consider suspension or termination necessary for legal, operational, or security reasons.

11.2. Upon termination, your right to use the App will cease immediately. Any provisions that by their nature should survive termination will remain in effect.

12. Governing Law and Dispute Resolution

12.1. These Terms are governed by the laws of New South Wales, Australia.

12.2. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia, unless otherwise required by applicable law.

At Meta Healthcare Pty Ltd ("Meta Healthcare", "we", "us", or "our"), we are committed to protecting your privacy and personal information. This Privacy Policy explains how we access, collect, use, disclose, store, and safeguard your information when you use the Meta Healthcare Staff App ("App").

Please read this Privacy Policy carefully. By using the App, you consent to the collection and use of your information as described in this Privacy Policy. If you do not agree with this Privacy Policy, please do not use the App.

1. Information We Collect

1.1. Personal Information

When you use the App, we may collect personal information that can be used to identify you, including your name, email address, phone number, contact details, date of birth, account details, profile information, and other information you provide to us.

1.2. Staff, Service, and Healthcare Information

We may collect information necessary to provide staffing, scheduling, healthcare support, and service-related functions through the App, including appointment details, shift details, attendance records, service preferences, work-related information, and healthcare-related information that you choose to provide or that is required for the operation of the App.

1.3. Usage Data

We may collect information regarding your interactions with the App, such as access times, page views, screens viewed, app features used, log data, and diagnostic or troubleshooting information.

1.4. Device Information

We may collect information about the device you use to access the App, including the hardware model, operating system, app version, IP address, mobile network information, and device identifiers.

1.5. Location Information

We may access, collect, and process approximate location and precise location from your device when you grant location permissions to the App. Depending on your device settings and the permissions you provide, this may include location information derived from GPS, Wi-Fi, IP address, and mobile network signals.

We use location data to:

  • support attendance verification and service completion records;
  • facilitate staff allocation, scheduling, routing, and navigation;
  • support service delivery and location-based operational functions;
  • assist with safety-related functions and support requests;
  • improve location-based features within the App; and
  • maintain records, resolve disputes, detect misuse, and comply with legal or operational requirements where location is relevant.

If you permit background location access on your device, the App may access location information while the App is closed or not in use where this is necessary for attendance verification, service delivery, safety-related functions, or other core operational features of the App.

We do not sell location data.

2. Use of Your Information

2.1. We may use your information for the following purposes:

  • to create, manage, and maintain your account or profile;
  • to provide staffing, scheduling, healthcare support, communication, booking, attendance verification, and related operational functions through the App;
  • to enable and operate location-based features;
  • to verify attendance, service delivery, or operational compliance where location is relevant;
  • to communicate with you regarding your account, support requests, changes, updates, or issues with the App;
  • to improve, maintain, troubleshoot, monitor, and secure the App;
  • to detect, investigate, and prevent misuse, fraud, unauthorized access, or other harmful activity; and
  • to comply with legal obligations and enforce our Terms and Conditions.

2.2. Data Retention and Record Keeping

We retain personal data only for as long as reasonably necessary to fulfill the purposes for which it was collected, comply with legal obligations, resolve disputes, enforce our agreements, and maintain appropriate business and operational records.

As a general guide:

  • healthcare-related or service-related records may be retained for at least 7 years where required by law, regulatory standards, contractual obligations, or operational necessity;
  • financial records may be retained for 5 to 7 years to meet taxation, accounting, and audit requirements;
  • general usage data may be retained for up to 24 months for troubleshooting, security, analytics, and service improvement purposes; and
  • location data may be retained only for as long as reasonably necessary for attendance verification, operational records, safety, dispute resolution, legal compliance, troubleshooting, or related service delivery purposes.

When data is no longer required, we will take reasonable steps to delete it securely or de-identify it where appropriate.

3. Disclosure of Your Information

3.1. Third-Party Service Providers and Operational Partners

We may disclose your information, including location data where relevant, to third-party service providers, contractors, healthcare providers, support workers, allied health professionals, operational staff, and other partners who assist us in operating the App and delivering services. These may include hosting providers, IT support providers, customer support systems, communications providers, mapping or navigation providers, and security service providers.

We require third parties engaged by us to handle personal information in accordance with applicable privacy and confidentiality obligations, but we are not responsible for the independent acts or omissions of third parties outside our reasonable control.

3.2. Legal Requirements

We may disclose your information where required or permitted by law, including in response to court orders, legal processes, regulatory requests, law enforcement requests, or to protect our legal rights, users, staff, clients, or the public.

3.3. Business Transfers

We may disclose or transfer information as part of a merger, acquisition, restructuring, financing transaction, sale of assets, or similar business transaction, subject to applicable law.

3.4. No Sale of Personal Data

We do not sell personal information or sensitive user data, including location data.

4. Security of Your Information

4.1. Our Security Measures

We implement reasonable administrative, technical, and physical safeguards designed to protect personal information from unauthorized access, disclosure, alteration, or destruction. These safeguards may include encryption, secure servers, access controls, monitoring, and regular software and security updates.

4.2. Your Responsibilities

You are responsible for maintaining the security of your device, passwords, and login credentials, and for ensuring that unauthorized persons do not access your account through your device or account information.

4.3. Third-Party Platforms

If you access or share personal information through third-party platforms or services connected with the App, the handling of that information may also be subject to those third parties' privacy practices and security measures.

4.4. No Absolute Guarantee

Although we take reasonable steps to protect your information, no transmission or storage system can be guaranteed to be completely secure. You acknowledge that use of the App and transmission of data over the internet carries inherent risk.

5. Your Rights and Choices

5.1. Access, Correction, and Deletion

You may request access to, correction of, or deletion of your personal information by contacting us at contact@metahealthcare.com.au. We will respond to requests in accordance with applicable law.

5.2. Location Permissions

You can control location permissions through your device settings. If you deny or revoke location access, some App features may not function correctly or may not be available.

5.3. Opt-Out of Communications

You may opt out of receiving marketing communications from us by following the instructions in those communications or by contacting us directly. Even if you opt out of marketing communications, we may still send service-related or account-related communications where necessary.

6. Changes to This Policy

We may update this Privacy Policy from time to time. Any changes will be posted on our website and/or made available through the App, and the Effective Date at the top of this Privacy Policy will be updated accordingly. Your continued use of the App after changes take effect constitutes acceptance of the revised Privacy Policy.
